By creating an account or using Tradient, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years of age to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Trading Services

Tradient provides tools for building, testing, and deploying automated trading strategies. Important considerations:

• •Tradient is not a broker, financial advisor, or investment manager
• •We do not provide investment advice or recommendations
• •You are solely responsible for your trading decisions and outcomes
• •Past backtesting results do not guarantee future performance
• •You acknowledge that automated trading involves significant risk of financial loss
• •Broker connections are provided "as is" — we are not responsible for broker downtime or execution issues

5. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Tradient and protected by intellectual property laws. You retain ownership of any trading strategies you create using the platform, subject to the following:

• •You grant Tradient a limited license to host and process your strategies as needed to provide the Service
• •We may use anonymized, aggregated data to improve our platform
• •We will not share your individual strategies with other users without your explicit consent

• •Paid plans are billed monthly or annually as selected
• •All fees are non-refundable except as required by law
• •We reserve the right to change pricing with 30 days advance notice
• •Failure to pay may result in suspension or termination of your account
• •You are responsible for any applicable taxes

To the maximum extent permitted by law, Tradient shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of the Service. In no event shall our total liability exceed the amount paid by you to Tradient during the twelve (12) months prior to the claim. This includes, but is not limited to, any financial losses resulting from automated trading activities.

You agree to indemnify and hold harmless Tradient, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may terminate or suspend your account at any time for violation of these Terms, with or without notice. You may cancel your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitation of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 30 days before they take effect. Your continued use of the Service after changes constitute acceptance of the revised Terms.
